Job Purpose

Reporting to the Senior Assistant Company Secretary in the Legal and Professional Advisory team, the Manager, Subsidiary Governance is primarily responsible for the development, implementation and monitoring of subsidiary governance policies, processes and procedures to support the life cycle, compliance and operationalisation of RWS’s global entities.

 

This role requires a blend of technical experience, project management skills, the ability to create and organise policies and procedures, as well as interpersonal skills to support and influence stakeholders with governance framework implementation across RWS in line with the company’s strategic priorities and growth objectives.

You will be part of a diverse and international team working across our global operations which span a footprint of over 100 legal entities in 43 different countries worldwide.

Job Overview

Key Responsibilities

 

  • Supporting on the implementation of outsourced global entity managed services provider(s) to manage global entity compliance and oversight, and managing ongoing service delivery
  • Overseeing annual compliance for global entities with internal stakeholders (finance, tax, treasury, legal, HR)
  • Partner and foster a culture of collaboration with relevant functions and proactively manage issues and challenges that may arise
  • Monitor, track and report on compliance with local regulation and RWS subsidiary governance framework
  • Deliver company secretarial compliance for UK subsidiary entities, including drafting minutes
  • Support in the development of RWS’s subsidiary governance framework
  • Taking the lead in managing statutory records for global entities and developing process for regular verification
  • Support functional training and awareness, visibility of Legal & Professional Advisory’s role in governance and risk management
  • Support with all aspects of corporate administration including document execution, updates to authorised signatories, notarisation/legalisation documents, KYC/information requests
  • Project support (entity rationalisation, tax/treasury transactions)

 

Skills & Experience

 

  • Educated to degree level (ideally, but not essential) and either ACG qualified or graduate.
  • Demonstratable experience of managing entity governance and compliance in multiple jurisdictions, ideally gained within a large group secretariat or global professional services provider
  • Good technical knowledge of UK companies law
  • Proficient in global entity management software tools (Kube, Diligent Entities, GEMS) and Microsoft Office for collaboration and meetings, Visio/Adobe Professional, UK Companies House e-filings
  • Experience in organising and servicing subsidiary governance meetings
  • Organised with excellent attention to detail
  • Ability to build effective and collaborative working relationships
  • Excellent communication and interpersonal skills
  • Resourceful, action-oriented with the ability to get things done and overcome obstacles
  • Ability to work effectively and independently in a fast-paced environment
  • Proactive and driven, with a strong work ethic and integrity
